TERMS OF SERVICE

These Terms govern every Proposal Strategy and Statement of Work issued by Market Magnet unless expressly varied in writing.

  1. Acceptance of Terms

These Terms of Service (“Terms”) govern all content marketing, brand strategy, search and AI visibility, analytics, and paid advertising engagements between Market Magnet (“Market Magnet”, “we”, “us”, “our”) and the client named in the applicable Proposal Strategy or Statement of Work (“Client”, “you”). By signing, approving, or otherwise engaging Market Magnet’s services under a Proposal Strategy, Client agrees to be bound by these Terms.

If a Proposal Strategy or a separately signed agreement contains terms that conflict with these Terms, the specific document takes precedence for that engagement only; these Terms continue to apply to everything not otherwise addressed.

  1. Services

Market Magnet provides content strategy and production, search engine optimisation (SEO), generative engine optimisation (GEO), analytics and tracking setup, and organic and paid advertising strategy, as described in the Client’s accepted Proposal Strategy. Market Magnet is not obligated to provide any service not set out in an accepted Proposal Strategy or subsequent written change order.

  1. Content Cadence & Engagement Tiers

Content production runs on one of three standard cadences. The Proposal Strategy specifies which cadence(s) apply to Client’s engagement and the fee associated with each. This, however, may vary from time to time and will be confirmed as and when necessary.

Weekly Content Cycle 1 longform article, 1 shortform article, 1 longform video, 7 shortform videos, 7 carousel posts and 7 image/text posts, every week.
Biweekly Content Cycle 2 longform articles, 2 longform videos, 14 shortform videos, 14 carousel posts and 14 image/text posts, per month.
Bimonthly Content Cycle 1 longform article, 1 longform video, 7 shortform videos, 7 carousel posts and 7 image/text posts, per two-month cycle.

Where an engagement combines a content cadence with other services (SEO, GEO, analytics and tracking, paid advertising), those services are layered on top of the cadence tier as set out in the Proposal Strategy and billed as a single monthly fee unless stated otherwise.

  1. Fees & Payment
  • Fees are as stated in the Client’s accepted Proposal Strategy and are invoiced monthly in advance.
  • Invoices are issued on or around the 23rd of the month due within 7 days of the invoice date unless otherwise agreed in writing.
  • Fees quoted are exclusive of VAT or other applicable sales tax unless Client’s jurisdiction requires it to be included, in which case it is added at the applicable rate.
  • Engagements run for a minimum initial term of six months from the commencement date, after which they continue month-to-month until terminated under Section 9.
  • Market Magnet may suspend services for accounts more than 14 days past due, without releasing Client from the obligation to pay outstanding fees.
  • Clients based in South Africa are invoiced through the South African banking system, while international clients are invoiced via Wise.
  1. Advertising Spend

All paid advertising runs through Client’s own advertising accounts (Meta, Google, LinkedIn, or other platforms as applicable). Budget for each campaign is proposed and agreed with Client separately as that campaign is rolled out and is never included in, or fixed as part of, Market Magnet’s service fees. Market Magnet is not responsible for charges billed directly to Client by an advertising platform.

  1. Client Responsibilities

Client agrees to provide timely access to accounts, brand assets, approvals, and information reasonably required for Market Magnet to perform the services. Delays in providing these may delay delivery of deliverables without Market Magnet being in breach of these Terms or the Proposal Strategy.

  1. Intellectual Property
  • Upon full payment, Client owns the specific content (articles, videos, graphics, campaigns, and similar deliverables) created for Client under the engagement.
  • Market Magnet retains ownership of its own proprietary systems, templates, frameworks, and processes, including its Topical Authority Map methodology and standard content cadence system. Client’s use of any Market Magnet template supplied as part of a deliverable is for Client’s own internal use only, not resale or sublicensing.
  • Market Magnet may reference the existence of the engagement and use non-confidential examples of completed work in its own portfolio and marketing, unless Client requests otherwise in writing.
  1. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party in connection with the engagement, and to use it only for purposes of that engagement, except where disclosure is required by law or by a regulatory authority.

  1. Communication & Reporting

Market Magnet holds a standing weekly meeting with Client, online or in person depending on geographic constraints, to review progress and align on the coming week’s work. Market Magnet also provides a monthly performance report against the measurement framework agreed in the Proposal Strategy.

  1. Term & Termination
  • Engagements run for a minimum initial term of six months from the commencement date.
  • After the minimum term, either party may terminate with 30 days’ written notice.
  • Market Magnet may suspend or terminate an engagement immediately for non-payment, on notice to Client.
  • Upon termination, Client remains liable for fees for services rendered up to the termination date. Fees already paid for the then-current billing period are not refunded for the unused portion of that period unless otherwise agreed in writing.
  1. No Guarantee of Results

Market Magnet applies industry best practices to content marketing, SEO, GEO, and paid advertising, but does not guarantee specific search rankings, traffic levels, lead volume, or revenue outcomes. These depend on factors outside Market Magnet’s control, including search engine and platform algorithm changes, market conditions, and Client’s own sales process and follow-up.

  1. Limitation of Liability

To the maximum extent permitted by law, Market Magnet’s total liability arising out of or relating to an engagement is limited to the fees paid by Client to Market Magnet in the three months immediately preceding the event giving rise to the claim. Market Magnet is not liable for indirect, incidental, special, or consequential damages, including loss of profits, revenue, or data, even if advised of the possibility of such damages.

  1. Force Majeure

Neither party is liable for any delay or failure to perform its obligations under these Terms where that delay or failure results from circumstances reasonably beyond that party’s control, including natural disaster, civil unrest, government action, or failure of a third-party platform Market Magnet’s services depend on.

  1. Governing Law

These Terms are governed by the laws of the Republic of South Africa, without regard to its conflict of law principles, unless a different governing law and jurisdiction are expressly agreed in writing in the applicable Proposal Strategy.

  1. Amendments

Market Magnet may update these Terms from time to time. Continued engagement after notice of a change constitutes acceptance of the updated Terms. Any change that materially affects fees or the scope of an active engagement requires Client’s written agreement before it takes effect for that engagement.

  1. Entire Agreement

These Terms, together with the applicable Proposal Strategy or Statement of Work, constitute the entire agreement between the parties regarding the engagement and supersede all prior discussions, understandings, or agreements, written or oral, relating to its subject matter.

  1. Acknowledgement & Signature

By signing below, or by approving the applicable Proposal Strategy in writing (including by email), Client acknowledges having read and agreed to these Terms of Service.
